1. Who you are contracting with

The Loapi platform (the "Service") is provided by Kosher Solutions Pty Ltd, a company registered in Botswana under company number BW00000166162(VAT number BW00000166162-00-05-56) ("Loapi", "we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms.

2. Authority and account

You confirm that you are of legal age and, where you use the Service on behalf of an organisation, that you have authority to bind that organisation. You are responsible for the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

3. The Service

Loapi provides software-as-a-service tools for strategy, risk and performance management, including AI-assisted analysis features. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected subscription plan.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent or abusive purpose, or send spam;
  • infringe the intellectual property or privacy rights of others;
  • upload malware, attempt to probe, scan or breach our security, or scrape the Service;
  • reverse engineer, decompile, resell or redistribute the Service or circumvent its technical limits;
  • use AI features to generate illegal content, deepfakes, hate speech, malware, or attempts to jailbreak our systems.

5. AI features

Outputs generated by the AI features may be inaccurate, incomplete or out of date and are not a substitute for professional advice (legal, financial, tax, medical or otherwise). You are responsible for your prompts, for verifying any output before relying on it, and for ensuring you have the necessary rights to any content you submit. We may filter, restrict or refuse outputs and may suspend accounts that repeatedly misuse the AI features.

6. Your content

You retain ownership of the content you submit. You grant us a limited licence to host, process and display that content solely to provide and improve the Service to you. If a rights holder notifies us of infringement we may remove the affected content and, for repeat offenders, terminate access.

7. Intellectual property

We retain all rights in the Service, including the software, documentation, branding and any improvements. Nothing in these Terms transfers ownership of our intellectual property to you.

8. Payment, subscription and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by the Paddle Buyer Terms. Our own refund window is described in our Refund Policy.

9. Service level and warranties

We work hard to keep the Service available and performing well, but we do not guarantee that it will be uninterrupted, error-free or meet every requirement. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Service is capped at the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury where such exclusion is not permitted by law.

11. Indemnity

You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; we will make your data available for export for a reasonable period before deletion.

13. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Botswana, and any disputes are subject to the exclusive jurisdiction of the courts of Botswana, without prejudice to mandatory consumer protection laws in your country of residence.

15. Assignment and force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
